Terms of Service

These Terms of Service ("Terms") govern your access to and use of Quad ("the Platform"), operated by Edvanta Technologies Private Limited ("Edvanta", "we", "us", or "our"), a company incorporated under the laws of India with its registered office in Noida, Uttar Pradesh, India.

By accessing or using Quad, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Definitions

• "Operator" means any individual or organisation that creates an account on Quad to manage AI staff members.
• "Expert" means an AI staff member provided by Quad, each trained for a specific operational domain.
• "Content" means any data, text, files, documents, or materials you upload, generate, or process through the Platform.
• "Connected Systems" means third-party services (LMS, CRM, SIS, email, etc.) that you authorise Quad to access on your behalf via OAuth or API credentials.

2. Eligibility

You must be at least 18 years of age and have the authority to bind the organisation you represent. By creating an account, you represent that you meet these requirements. Quad is designed for use by educational institutions, EdTech operators, and their authorised personnel.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your credentials and for all activities that occur under your account. Notify us immediately at yogesh@quadhq.ai if you suspect unauthorised access.

4. Use of the Platform

4.1 Permitted Use

Quad is provided for legitimate educational and institutional operations. You may use the Platform to delegate tasks to AI Experts, connect your institutional systems, generate reports and documents, and automate operational workflows.

4.2 Prohibited Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of applicable laws
• Attempt to reverse-engineer, decompile, or extract source code from the Platform
• Interfere with or disrupt the Platform's infrastructure or security
• Share your account credentials with unauthorised parties
• Use the Platform to process personal data in violation of applicable data protection laws, including student records protected under FERPA or equivalent regulations
• Transmit malicious code, viruses, or harmful content through Connected Systems
• Use automated means (bots, scrapers) to access the Platform outside of authorised API endpoints

5. Connected Systems and Third-Party Services

When you connect third-party services to Quad, you grant us permission to access, read, write, and monitor data in those systems on your behalf, strictly within the scope of tasks you delegate. You are responsible for ensuring you have the authority to grant such access and that the connection complies with the third-party service's terms of use.

Credentials for Connected Systems are encrypted and stored in a secure vault. AI Experts never have access to raw credentials. We do not store data from Connected Systems beyond what is necessary for task execution and audit logging.

6. Intellectual Property

6.1 Your Content

You retain all rights to Content you upload or generate through Quad. By using the Platform, you grant us a limited licence to process your Content solely for the purpose of providing the service.

6.2 Platform IP

Quad, including its design, code, AI models, prompts, workflows, and documentation, is the intellectual property of Edvanta Technologies Private Limited. Nothing in these Terms grants you any right to use our trademarks, logos, or brand assets without prior written consent.

6.3 AI-Generated Output

Output generated by AI Experts (documents, reports, code, analysis) is provided to you under a perpetual, non-exclusive licence. You may use, modify, and distribute such output for your institutional purposes. We do not claim ownership of AI-generated output created at your direction.

7. Trust Levels and Automation

Quad operates on a graduated trust system. You control the level of autonomy each Expert has — from "Suggest" (full manual approval) to "Autonomous" (scheduled execution without prompting). You are responsible for configuring trust levels appropriate to your institution's policies and risk tolerance. Quad logs every action taken by Experts for your review.

8. Pricing and Payment

Quad offers a free Pilot tier with full access to all features and a task limit. Enterprise plans are priced by agreement. If you subscribe to a paid plan, payment terms will be set out in a separate Order Form or agreement. We reserve the right to modify pricing with 30 days' prior notice.

If you use your own API key ("Bring Your Own Key"), you are responsible for all costs incurred with the underlying AI provider (e.g., Anthropic) and must comply with their terms of service.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. Quad depends on third-party infrastructure (cloud hosting, AI providers, Connected Systems) and may experience downtime due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you of planned maintenance in advance.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Edvanta Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Platform.

AI Experts provide output based on the information available to them. We do not guarantee the accuracy, completeness, or fitness of AI-generated output for any particular purpose. You are responsible for reviewing and validating all output before acting on it, especially for compliance, regulatory, and student-facing decisions.

11. Indemnification

You agree to indemnify and hold harmless Edvanta Technologies, its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from your use of the Platform, your Content, your violation of these Terms, or your infringement of any third-party rights.

12. Termination

You may stop using Quad at any time by deleting your account. We may suspend or terminate your account if you violate these Terms, with or without notice. Upon termination, your right to use the Platform ceases immediately. You may request export of your data within 30 days of termination.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Noida, Uttar Pradesh, India.

Before initiating formal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of thirty (30) days.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice on the Platform at least 15 days before they take effect. Your continued use of Quad after the effective date constitutes acceptance of the revised Terms.
